Terms of Service

These terms govern your access to and use of Reputation Admiral. Please read them carefully - they include important limitations on liability and describe the relationship between you and us.

01Agreement to these terms

These Terms of Service (the "Terms") are a binding agreement between you and Reputation Admiral ("Reputation Admiral", "we", "us", or "our") and govern your access to and use of the Reputation Admiral websites, dashboards, APIs, and related services (together, the "Service").

By accessing or using the Service, or by clicking to accept these Terms, you agree to be bound by them. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, do not use the Service.

02The Service

Reputation Admiral monitors how large language models and AI answer engines - including tools such as ChatGPT, Claude, Gemini, Google AI Overviews, Grok, and Perplexity - respond to prompts about a brand. We run recurring "sweeps" that submit prompts to these third-party models, score the responses for factors such as brand mention, prominence, sentiment, factual accuracy, and share of voice, and present the results in your dashboard.

The Service reports what third-party AI models produce at a given time. Those models are operated by third parties, are probabilistic, and change without notice. We do not control their output and do not guarantee that any result is complete, accurate, or reproducible.

03Accounts and access

Access to a dashboard is provided through workspace credentials we issue to you. You are responsible for keeping those credentials confidential and for all activity that occurs under your workspace.

You agree to notify us promptly at [email protected] if you believe your credentials have been lost, stolen, or used without authorization. We may suspend access where we reasonably believe credentials have been compromised or the Terms have been breached.

You must not share credentials with anyone outside your organization, attempt to access another customer's workspace or data, or circumvent any authentication, rate-limiting, or access control in the Service.

04Acceptable use

You agree not to, and not to permit any third party to:

  • use the Service in violation of any applicable law, regulation, or third party right;
  • reverse engineer, decompile, scrape, or attempt to derive the source code or underlying models of the Service, except to the extent this restriction is prohibited by law;
  • interfere with or disrupt the integrity or performance of the Service, or probe, scan, or test its vulnerability without our prior written consent;
  • use the Service to send spam, to harass or defame any person, or to build a competing product or service; or
  • misrepresent the output of the Service, including presenting AI-generated results as independently verified facts.

05Customer data and inputs

"Customer Data" means the brand names, prompts, competitor lists, configuration, and other information you provide to configure the Service. As between you and us, you retain all rights in your Customer Data. You grant us a limited, non-exclusive license to host, process, and use Customer Data solely to operate, secure, and improve the Service and to provide results to you.

You represent that you have the rights necessary to provide your Customer Data and that its use by us as described in these Terms and our Privacy Policy will not violate any law or third party right.

The Service transmits prompts to third-party AI providers to generate results. You acknowledge that those prompts are handled under the applicable provider's terms, and you should not include confidential or personal information in prompts that you do not wish to be transmitted to those providers.

06Intellectual property

The Service, including its software, scoring methodology, dashboards, and all associated intellectual property, is and remains the exclusive property of Reputation Admiral and its licensors. Except for the limited right to use the Service under these Terms, no rights are granted to you by implication or otherwise.

Results and reports generated for you may be used within your organization for your internal business purposes. You may not resell, sublicense, or publicly redistribute the Service or bulk results without our prior written consent.

If you provide feedback or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.

07Third-party services

The Service depends on third-party AI providers and other vendors. Their availability, pricing, output, and terms are outside our control and may change. We are not responsible for the acts, omissions, or content of any third party, and your use of results derived from third-party models is at your own discretion.

08Fees

Fees, billing frequency, and payment terms are set out in the order or written agreement between you and us. Unless stated otherwise, fees are non-refundable and exclusive of taxes, which you are responsible for. We may suspend the Service for non-payment after reasonable notice.

09Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that results are accurate, complete, or fit for any decision you make. Results describe third-party AI output and are not professional, legal, financial, or reputational advice.

10Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT FOR YOUR PAYMENT OBLIGATIONS AND EITHER PARTY'S BREACH OF ITS CONFIDENTIALITY OBLIGATIONS, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11Indemnification

You will defend, indemnify, and hold harmless Reputation Admiral from and against any third-party claims, damages, and costs (including reasonable legal fees) arising out of your Customer Data, your use of the Service in breach of these Terms, or your violation of any law or third party right.

12Term and termination

These Terms apply for as long as you use the Service. Either party may terminate for material breach that remains uncured 30 days after written notice. We may suspend or terminate access immediately where required to protect the Service, other customers, or to comply with law.

On termination, your right to access the Service ends. Sections that by their nature should survive - including intellectual property, disclaimers, limitation of liability, indemnification, and governing law - survive termination.

13Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration, and each party waives any objection to venue there.

14Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
